Terms of Service

1. Agreement to Terms

By accessing, browsing, or using the RinsePay platform, mobile application, website, or any associated services (collectively, the "Services") in any manner -- including without limitation creating an account, initiating a wash, processing a payment, or simply visiting the website -- you acknowledge that you have read, understood, and agree to be bound by these Terms of Service ("Terms"). Your use of the Services constitutes your acceptance of and agreement to comply with these Terms. If you do not agree to these Terms, you must immediately cease all use of the Services.

1.1 Eligibility

You represent and warrant that you are at least eighteen (18) years of age and possess the legal capacity to enter into this binding agreement.

1.2 Authority to Bind

If you are accessing or using the Services on behalf of a business, organization, or other legal entity, you represent and warrant that you have the authority to bind such entity to these Terms, in which case "you" and "your" shall refer to both you individually and such entity.

2. Definitions

The following terms shall have the meanings set forth below when used in these Terms:

2.1 Platform

"Platform" refers to the RinsePay software application, website at rinsepay.app, APIs, and all related technology infrastructure.

2.2 User

"User" refers to any individual who creates an account on the Platform, including end consumers who initiate car wash transactions.

2.3 Owner or Operator

"Owner" or "Operator" refers to any individual or entity that owns or operates a car wash facility and utilizes the Platform to manage payments, equipment, and customer interactions.

2.4 Controller

"Controller" or "RP-CTL" refers to the proprietary hardware device manufactured or distributed by RinsePay that interfaces with car wash equipment to enable remote activation and payment processing.

2.5 Services

"Services" refers collectively to all features, functionality, tools, and support provided by RinsePay through the Platform, including but not limited to payment processing, equipment management, analytics, fleet accounts, and customer-facing wash initiation.

3. Account Registration

To access certain features of the Services, you must register for an account.

3.1 Accurate Information

You agree to provide accurate, current, and complete information during the registration process and to update such information as necessary to keep it accurate, current, and complete.

3.2 Account Security

You are solely responsible for safeguarding your account credentials, including your password and any two-factor authentication methods. You must not share your account credentials with any third party.

3.3 Single Account

Each individual may maintain only one (1) account on the Platform. RinsePay reserves the right to suspend or terminate any duplicate accounts or accounts containing false or misleading information.

3.4 Account Responsibility

You are responsible for all activity that occurs under your account, whether or not authorized by you. You must notify RinsePay immediately at legal@rinsepay.app upon becoming aware of any unauthorized use of your account or any other breach of security.

4. Platform Services

RinsePay provides a technology platform that enables car wash operators to accept digital payments, manage wash equipment remotely via IoT controllers, monitor site analytics, and offer a seamless payment experience to end consumers.

4.1 Operator Features

For Operators, the Platform provides tools for managing locations, bays, pricing, staff and attendant accounts, fleet customer accounts, hardware controllers, and transaction reporting.

4.2 User Features

For Users, the Platform provides the ability to locate participating car wash facilities, initiate and pay for wash services via the mobile application or web interface, manage payment methods, and view transaction history.

4.3 Intermediary Role

RinsePay acts as a technology intermediary and does not itself own, operate, or maintain any car wash equipment or facilities.

5. Fees and Payment

The following fee structure applies to all transactions and services provided through the Platform:

5.1 Platform Fee

RinsePay charges a platform fee of one percent (1%) on the gross amount of each transaction processed through the Platform. This fee is automatically deducted before funds are remitted to the Operator.

5.2 Payment Processing Fees

Third-party payment processing fees imposed by Stripe, Inc. ("Stripe") of approximately 2.9% plus $0.30 per successful transaction apply and are likewise deducted from the transaction amount.

5.3 Activation Fee

Operators are subject to a platform activation fee of one hundred dollars ($100.00) per month, which covers access to the Platform, controller management, the analytics dashboard, and standard customer support. This monthly fee may be waived or adjusted during promotional periods at RinsePay's sole discretion.

5.4 Hardware Costs

Operators who purchase RP-CTL hardware or other equipment from RinsePay shall pay the applicable purchase price at the time of order.

5.5 Currency and Refunds

All fees are quoted in United States Dollars (USD) and are non-refundable except as expressly provided in these Terms. RinsePay reserves the right to modify its fee structure upon thirty (30) days' prior written notice.

6. Payment Processing

All payment transactions conducted through the Platform are processed by Stripe, Inc., a third-party payment processor.

6.1 Stripe Terms

By using the Services, you agree to be bound by Stripe's Terms of Service and Privacy Policy in addition to these Terms.

6.2 PCI Compliance

RinsePay is fully compliant with the Payment Card Industry Data Security Standard (PCI DSS). RinsePay does not directly store, process, or transmit credit card numbers, CVVs, or other sensitive cardholder data on its servers. All such data is securely handled and tokenized by Stripe.

6.3 Third-Party Liability

RinsePay retains only tokenized references and non-sensitive transaction metadata necessary to provide the Services. You acknowledge that RinsePay is not responsible for any errors, outages, or security incidents arising from Stripe's systems or infrastructure.

7. Refund Policy

Refund policies for individual wash transactions are established and administered by the Operator of the car wash facility at which the transaction occurred.

7.1 Operator Responsibility

RinsePay facilitates the technical processing of refunds through the Platform but bears no responsibility for an Operator's refund decisions or policies. Users seeking a refund should contact the applicable Operator directly or use the in-app support feature associated with the transaction.

7.2 Platform Fee on Refunds

Platform fees collected by RinsePay on refunded transactions are non-refundable, as the Platform service was rendered at the time of the original transaction. Stripe processing fees on refunded transactions are subject to Stripe's own refund fee policies.

7.3 Billing Disputes

In the event of a billing dispute related to the monthly activation fee or hardware charges, Operators may contact RinsePay at legal@rinsepay.app within thirty (30) days of the charge in question.

8. Hardware and Equipment

RP-CTL controllers and any related hardware provided, sold, or leased by RinsePay remain the intellectual property of RinsePay with respect to embedded firmware, software, and designs.

8.1 Ownership

Operators who purchase RP-CTL units obtain ownership of the physical hardware but are granted only a limited license to the embedded software pursuant to Section 10 (License Grant) of these Terms.

8.2 Restrictions

Users and Operators shall not tamper with, disassemble, modify, reverse engineer, or attempt to extract firmware or proprietary data from any RinsePay hardware.

8.3 Return of Leased Hardware

All leased or loaned hardware must be returned to RinsePay in good working condition within thirty (30) days of termination of the applicable service agreement. Failure to return leased hardware may result in charges equal to the full replacement cost of the equipment.

8.4 Disclaimer of Warranties

ALL HARDWARE IS PROVIDED "AS IS" AND "AS AVAILABLE." RINSEPAY DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. RINSEPAY DOES NOT WARRANT THAT HARDWARE WILL BE UNINTERRUPTED, ERROR-FREE, OR FREE OF DEFECTS.

9. Intellectual Property

All content, software, source code, object code, algorithms, designs, logos, trademarks, service marks, trade names, trade dress, graphics, user interfaces, and other materials available through or associated with the RinsePay Platform (collectively, "RinsePay IP") are the exclusive property of RinsePay or its licensors and are protected by United States and international copyright, trademark, patent, trade secret, and other intellectual property laws. No ownership of any RinsePay IP is transferred to any User or Operator through use of the Services.

10. License Grant

Subject to your compliance with these Terms, RinsePay grants you a limited, non-exclusive, non-transferable, non-sublicensable, and revocable license to access and use the Platform and Services solely for their intended purpose as described herein. This license does not include the right to sublicense, sell, resell, or commercially exploit the Platform or any portion thereof. RinsePay reserves the right to revoke this license at any time, with or without cause.

11. Restrictions on Use

You agree not to, and shall not permit any third party to: (a) use the Services for any unlawful, fraudulent, or malicious purpose; (b) reverse engineer, decompile, disassemble, or attempt to derive the source code of any RinsePay software; (c) copy, scrape, harvest, or reproduce any content or data from the Platform; (d) create derivative works based on the Platform; (e) interfere with or attempt to gain unauthorized access to the Platform; (f) introduce any malicious code; (g) impersonate any person or entity; (h) transmit unsolicited commercial communications; (i) circumvent any security features; (j) remove any proprietary notices; or (k) use the Services in any manner that could damage or impair the Platform.

12. Data Privacy

RinsePay is committed to protecting your personal data in compliance with applicable data protection laws, including the GDPR and CCPA.

12.1 Data Collection

In the course of providing the Services, RinsePay collects and processes personal data including but not limited to names, email addresses, phone numbers, payment method tokens, transaction history, device identifiers, and usage analytics.

12.2 Purpose of Processing

Personal data is collected and processed solely for the purpose of providing and improving the Services, processing transactions, communicating with users, and complying with legal obligations. RinsePay does not sell personal data to third parties.

12.3 Third-Party Sharing

Data may be shared with third-party service providers (such as Stripe for payment processing and Resend for transactional email) solely as necessary to provide the Services.

12.4 User Rights

Users may exercise their rights to access, correct, export, or delete their personal data at any time through in-app settings or by contacting legal@rinsepay.app.

13. Service Availability

RinsePay endeavors to maintain the availability and reliability of the Platform on a best-effort basis. However, RinsePay does not guarantee uninterrupted, continuous, or error-free operation of the Services. The Platform may be temporarily unavailable due to scheduled maintenance, software updates, hardware failures, third-party service outages, force majeure events, or other circumstances beyond RinsePay's reasonable control.

14. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL RINSEPAY, ITS OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, AFFILIATES, OR LICENSORS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, PUNITIVE, OR EXEMPLARY DAMAGES. RINSEPAY'S TOTAL AGGREGATE LIABILITY SHALL NOT EXCEED THE TOTAL AMOUNT OF FEES PAID BY YOU DURING THE TWELVE (12) MONTHS PRECEDING THE CLAIM, OR FIFTY DOLLARS ($50.00), WHICHEVER IS GREATER.

15. Indemnification

You agree to indemnify, defend, and hold harmless RinsePay and its officers, directors, employees, agents, affiliates, successors, and assigns from and against any and all claims arising out of: (a) your use of the Services; (b) your violation of these Terms; (c) your violation of any applicable law or third-party right; (d) any content you submit through the Services; or (e) your negligence or willful misconduct.

16. Dispute Resolution

16.1 Binding Arbitration

Any dispute arising out of or relating to these Terms shall be resolved by binding arbitration administered by the American Arbitration Association ("AAA") in accordance with its Commercial Arbitration Rules. The arbitration shall be conducted by a single arbitrator in the State of Missouri, United States.

16.2 Class Action Waiver

YOU AND RINSEPAY AGREE THAT EACH MAY BRING CLAIMS AGAINST THE OTHER ONLY IN YOUR OR ITS INDIVIDUAL CAPACITY AND NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY PURPORTED CLASS, CONSOLIDATED, OR REPRESENTATIVE ACTION.

16.3 Governing Law

These Terms shall be governed by and construed in accordance with the laws of the State of Missouri, without regard to its conflict of laws principles.

17. Termination

17.1 User Termination

Users may terminate their account by contacting support or using the account deletion feature within the application.

17.2 Operator Termination

Operators may terminate their subscription by providing thirty (30) days' written notice to RinsePay.

17.3 RinsePay Termination

RinsePay may suspend or terminate your access to the Services immediately, without prior notice or liability, if you breach any provision of these Terms.

17.4 Effect of Termination

Upon termination: (a) your license to use the Services shall immediately cease; (b) you must return any leased hardware within thirty (30) days; (c) outstanding fees become immediately due; and (d) provisions that by their nature should survive termination shall survive, including Sections 9, 14, 15, 16, and 19.

18. Modifications to Terms

RinsePay reserves the right to modify these Terms at any time. Material changes will be communicated with at least thirty (30) days' prior notice. Your continued use after the effective date constitutes acceptance of the updated Terms.

19. Severability

If any provision of these Terms is held to be invalid or unenforceable, the remaining provisions shall continue in full force and effect.

20. Entire Agreement

These Terms, together with the Privacy Policy, constitute the entire agreement between you and RinsePay concerning the Services.
